1. Introduction

Welcome to Melanin Mall (the “Platform”, “we”, “us” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, mobile applications, services, and marketplace (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Services. By registering for or using the Services you represent and warrant that you meet the eligibility requirements and will comply with these Terms.

3. Accounts & Registration

To use certain features of the Services you must create an account. You agree to:

• Provide accurate, current and complete information during registration;
• Maintain and promptly update your account information to keep it accurate;
• Keep your password and account credentials secure and not share them with others;
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a risk to other users or the Platform.

4. Marketplace & Services

Melanin Mall is a marketplace that connects buyers and vendors. We facilitate transactions, payments, and communications between parties. Vendors list products; we provide the platform and tools to enable discovery, purchase, and (where applicable) fulfillment through our partners.

Note: Unless otherwise expressly stated, Melanin Mall is not the seller of items listed by third-party vendors—vendors are independent sellers responsible for their listings and fulfillment. For items fulfilled by dropshipping partners, the vendor or partner handles fulfillment per their terms.

5. Orders, Pricing & Payments

All orders placed through the Platform are subject to acceptance and availability. Prices shown on the Platform include the listed product price and any applicable fees, shipping, or taxes. We may change prices at any time; such changes do not apply to orders already placed.

Payment processing is provided by third-party payment processors. By placing an order you authorize us and our payment partners to charge the payment method you provide. We use reasonable measures to protect payment information but are not responsible for the acts or omissions of payment providers.

6. Shipping & Fulfillment

Shipping, delivery times, and fulfillment responsibilities are determined by the vendor or their fulfillment partner (e.g., dropshipper). Estimated delivery times are provided for convenience and are not guaranteed. We are not responsible for delivery delays caused by vendors, carriers, customs, or other third parties.

7. Returns, Refunds & Cancellations

Return, refund and cancellation policies may vary by vendor and product. Unless a vendor’s return policy states otherwise, customers should request returns or refunds through the order page or contact our support team. We will facilitate communication and, where the Platform is responsible, process refunds in accordance with our policies.

8. Vendor Responsibilities

Vendors using the Platform must:

• Provide accurate product information (descriptions, pricing, stock);
• Fulfill orders in a timely manner or through integrated fulfillment partners;
• Comply with all applicable laws and regulations regarding sales, taxes, and customs;
• Provide accurate shipping and tracking information to buyers;
• Handle customer service, returns, and warranty matters unless otherwise agreed.

9. Prohibited Conduct

When using the Services you agree not to:

• Engage in unlawful, fraudulent, or harmful activities;
• Post false, misleading, or infringing product information or content;
• Attempt to access other users’ accounts or the Platform’s systems without authorization;
• Transmit viruses, malware, or any code intended to disrupt the Services;
• Use the Platform to sell prohibited, illegal or restricted items.

Violations may result in account suspension or termination and legal action.

10. Intellectual Property

All content on the Platform, including text, images, logos, and designs, is owned or licensed by Melanin Mall and protected by intellectual property laws. You may not use our trademarks or content without prior written permission. Vendors remain owners of their product listings and images, but grant us a license to display such content on the Platform.

11. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT PERMITTED BY LAW, MELANIN MALL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL MELANIN MALL, ITS AFFILIATES, OR PARTNERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING FROM YOUR USE OF THE SERVICES IS LIMITED TO THE AMOUNT PAID BY YOU TO MELANIN MALL IN CONNECTION WITH THE TRANSACTION GIVING RISE TO LIABILITY IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold Melanin Mall, its officers, directors, employees and agents harmless from any claims, losses, liabilities and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your use of the Services, or your violation of applicable laws.

13. Privacy

We care about your privacy. Our Privacy Policy describes how we collect, use, and protect personal information. By using the Services you consent to our collection and use of personal data as described in the Privacy Policy.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Platform, or our business. Termination does not waive any rights or remedies we may have at law or in equity.

15. Changes to Terms

We may modify these Terms at any time. When we make material changes we will provide notice (for example, via the Platform or email). Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Melanin Mall is incorporated, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved in the competent courts of that jurisdiction, unless otherwise agreed in writing.

17. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Melanin Mall regarding the Services.
